Welcome to 360 AI Studios! These Terms of Service ("Terms") govern your access to and use of our website, platform, AI voice and text agents, and related services (collectively, the "Services").

By creating an account, signing an agreement, or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or entity, you represent that you have the authority to bind that entity.

1. Our Services

360 AI Studios provides artificial intelligence deployment services, including autonomous voice and text agents designed to assist businesses with customer communication, lead capturing, and automated workflows. We continuously update and improve our technology, meaning features may evolve or change over time.

2. Account Setup and Responsibilities

• Accuracy: You agree to provide accurate, current, and complete information during registration and setup.
• Security: You are responsible for safeguarding your account credentials and client portal access. Any activity occurring under your account is your responsibility.
• Unauthorized Use: You must notify us immediately at 360studiosai@gmail.com if you suspect any security breach or unauthorized use of your account.

3. Acceptable Use Policy

You agree to use our AI agents and services strictly for lawful, commercial purposes. You explicitly agree NOT to use our platform to:

• Generate or transmit spam, unsolicited telemarketing calls, automated harassment, or deceptive marketing materials.
• Impersonate any real person without their explicit consent, or mislead users about interacting with an artificial intelligence agent.
• Bypass, disable, or interfere with any security features of our system.
• Violate any local, state, or federal telecommunication laws, including regulations regarding automated calling, text messaging (TCPA), or call recording.

4. Customer Consent and Legal Compliance

Because our AI agents interact with your customers and end-users, you are the "Data Controller" of that information.

• Call Recording & Monitoring: You are solely responsible for providing any legally required disclosures to your customers before or during their interaction with our AI agents (e.g., advising them that "this call is processed or recorded by AI for quality purposes").
• TCPA & Messaging Compliance: If you utilize our agents for outbound messaging or calling, you warrant that you have obtained all necessary prior express written consents from the recipients.

5. Fees, Billing, and Subscriptions

• Pricing: Services are billed on a subscription or per-project basis as outlined in your specific service plan or Client Portal.
• Payments: All fees are due in full on the specified billing date. Late payments may result in the immediate suspension or termination of your AI agents.
• Non-Refundable: Unless explicitly stated otherwise in writing, all fees paid to 360 AI Studios are non-refundable.
• Cancellation: You may cancel your subscription at any time through your Client Portal. Cancellations will take effect at the end of your current billing cycle.

6. Intellectual Property

• Our Property: 360 AI Studios retains all rights, title, and interest in and to our AI architectures, proprietary prompts, system integrations, software, custom code, and brand assets.
• Your Property: You retain all rights to any proprietary business text, guidelines, datasets, or materials you upload to train or customize your AI agents. You grant us a limited license to use this data solely to provide and improve the services for your business.

7. Disclaimer of Warranties (The "AI Nature" Clause)

Our services are provided on an "as-is" and "as-available" basis. While we strive for extreme precision, artificial intelligence can occasionally generate unexpected, inaccurate, or incomplete outputs (sometimes called "hallucinations"). 360 AI Studios does not warrant or guarantee that the AI agents will always be error-free, uninterrupted, or perfectly accurate in every response. You agree to monitor your agent's performance and notify us of any required adjustments.

8. Limitation of Liability

To the maximum extent permitted by law, 360 AI Studios, its founders, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages. This includes, without limitation, loss of profits, data, goodwill, business interruption, or damages resulting from errors made by the AI agents in conversation with your customers. Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the three (3) months preceding the event.

9. Termination

We reserve the right to suspend or terminate your access to our platform immediately, without prior notice, if we determine that you have violated these Terms or engaged in behavior that puts our system, network, or other users at risk.

10. Changes to These Terms

We may update these Terms from time to time to reflect shifts in technology or legal requirements. When we do, we will update the "Effective Date" at the top of this page. Continued use of our services after updates are posted constitutes your acceptance of the revised Terms.
